These Terms and Conditions ("Terms") govern your access to and use of the GadiGo mobile application, website, and related services (collectively referred to as the "Platform"). By creating an account, accessing, or using GadiGo, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Platform.

1. Introduction

1.1 About GadiGo

GadiGo is a technology platform that connects transporters, load owners, vehicle owners, and drivers to facilitate communication and help them discover transportation opportunities.

GadiGo acts solely as an online marketplace and does not provide transportation services. GadiGo does not own, lease, operate, or manage any vehicle, nor does it employ or control any driver, transporter, or logistics company.

1.2 Platform Role

GadiGo only provides a digital platform that allows registered users to:

• Discover transportation opportunities.
• Publish and view vehicle or load information.
• Connect and communicate with other users.
• Purchase subscription plans (where applicable) to access platform features.

GadiGo is not:

• A transporter.
• A freight broker.
• A logistics contractor.
• A carrier.
• A shipping company.
• A delivery service provider.
• An employer of drivers.

1.3 Independent Transactions

Any agreement regarding freight charges, loading, unloading, transportation, delivery schedules, payment terms, damages, delays, cancellations, or any other commercial arrangement is solely between the concerned users.

GadiGo is not a party to such agreements and shall not be responsible for enforcing, supervising, or guaranteeing them.

1.4 No Freight Payment Handling

GadiGo does not:

• Collect freight charges.
• Hold freight payments.
• Transfer freight payments.
• Act as an escrow service.
• Guarantee payment between users.

All financial arrangements relating to transportation remain solely between the users.

1.5 Changes to Services

GadiGo may introduce, modify, suspend, or discontinue any feature, service, subscription, or functionality at its sole discretion without prior notice where permitted by applicable law.

2. Definitions

For the purpose of these Terms, the following definitions shall apply:

2.1 "GadiGo"

Means the mobile application, website, software, services, technology platform, database, and related services operated under the name "GadiGo."

2.2 "User"

Any individual, business, company, transporter, vehicle owner, driver, or other person who accesses or uses the Platform.

2.3 "Vehicle Owner"

A person or legal entity owning or lawfully operating one or more commercial vehicles listed on the Platform.

2.4 "Driver"

A person legally authorized to drive a commercial vehicle and registered on the Platform.

2.5 "Transporter" or "Load Owner"

A business or individual seeking transportation services for goods.

2.6 "Subscription"

A paid plan offered by GadiGo that provides access to certain Platform features for a specified period.

2.7 "Trip Opportunity"

A transportation opportunity displayed through the Platform that may be viewed or accessed according to the applicable subscription plan. A Trip Opportunity is not a confirmed booking or guaranteed assignment.

2.8 "Content"

Any information, photographs, documents, messages, listings, reviews, vehicle details, load details, logos, text, videos, or other materials uploaded or shared through the Platform.

2.9 "Verification"

The process through which GadiGo reviews submitted information or documents to help improve platform safety. Verification does not guarantee authenticity, legality, future conduct, or reliability of any user.

3. Eligibility

To use GadiGo, you represent and warrant that:

3.1 Age Requirement

You are at least 18 years of age and legally capable of entering into binding contracts under applicable Indian law.

3.2 Legal Authority

If you register on behalf of a company, partnership, organization, or other legal entity, you confirm that you are duly authorized to bind such entity to these Terms.

3.3 Accurate Information

You agree to provide complete, accurate, and correct current information during registration and whenever requested by GadiGo.

3.4 Valid Documents

Where applicable, you agree to maintain valid licences, permits, registrations, insurance policies, GST registrations, or any other documents required by law.

3.5 Compliance with Laws

You agree to comply with all applicable laws, regulations, transport rules, taxation requirements, and government notifications while using the Platform.

3.6 Right to Refuse Access

GadiGo reserves the right to refuse registration or suspend access where:

• Information is false or misleading.
• Required documents are not provided.
• Fraudulent activity is suspected.
• The user violates these Terms.
• Continued access may pose a risk to other users or the Platform.

4. Account Registration

4.1 Registration

Users must create an account before accessing certain Platform features.

Registration may require:

• Name
• Mobile number
• Email address (where applicable)
• Business details (if applicable)
• Vehicle information (if applicable)
• Government-issued documents (where required)

4.2 One Account Policy

Unless expressly approved by GadiGo, users may maintain only one active account for each individual or business.

Creating duplicate or fake accounts is prohibited.

4.3 Account Security

Users are solely responsible for:

• Maintaining password confidentiality.
• Protecting OTPs and login credentials.
• All activities performed through their account.

Users must immediately notify GadiGo if they suspect unauthorized access.

4.4 Updating Information

Users must promptly update any inaccurate, expired, or changed information.

Failure to maintain accurate information may result in suspension or removal of the account.

4.5 Account Ownership

Accounts are personal and non-transferable.

Users may not sell, rent, transfer, or allow another person to use their account.

5. Document Verification & User Consent

5.1 Purpose of Verification

To improve platform safety, reduce fraud, and comply with applicable legal obligations, GadiGo may request users to upload identity and vehicle-related documents.

5.2 Documents That May Be Requested

Depending on account type, GadiGo may request:

• Aadhaar Card
• Driving Licence
• Registration Certificate (RC)
• Vehicle Permit
• Insurance Certificate
• PAN Card
• GST Registration
• Business Registration
• Vehicle photographs
• Driver photographs
• Any other document reasonably required for verification.

Submission requirements may change as the Platform evolves.

5.3 User Consent

By uploading any document, you expressly consent to GadiGo collecting, storing, reviewing, processing, and using such documents solely for:

• Identity verification.
• Vehicle verification.
• Fraud prevention.
• Platform safety.
• Customer support.
• Regulatory compliance.
• Investigation of suspicious activities.
• Compliance with lawful requests from government authorities.

5.4 Ownership of Documents

You represent and warrant that:

• The documents belong to you, or
• You are legally authorized to submit them.

Uploading another person's documents without authorization is strictly prohibited.

5.5 Verification Disclaimer

Verification performed by GadiGo is limited to reviewing submitted information.

Verification does not guarantee:

• The authenticity of every document.
• The future conduct of any user.
• Financial reliability.
• Legal compliance by the user.
• Successful completion of transportation.
• Trustworthiness or honesty of any user.

Users should exercise independent judgment before entering into any transaction.

5.6 False Documents

Uploading forged, altered, misleading, expired, stolen, or unauthorized documents may result in:

• Immediate suspension.
• Permanent account termination.
• Cancellation of subscriptions without refund.
• Reporting to law enforcement authorities where legally required.

5.7 Data Protection

Verification documents will be handled in accordance with the GadiGo Privacy Policy and applicable Indian laws.

6. Subscription Plans

6.1 Subscription Model

Certain Platform features are available only through paid subscriptions.

GadiGo currently offers:

• Monthly Subscription
• Yearly Subscription

Subscription plans, pricing, and available features may change from time to time.

6.2 Nature of Subscription

A subscription provides access to specified Platform features only.

It does not constitute:

• Employment.
• Partnership.
• Guaranteed transportation work.
• Guaranteed earnings.
• Guaranteed bookings.
• Guaranteed customers.

6.3 Activation

Subscriptions become active only after successful payment confirmation.

6.4 Expiry

Subscriptions automatically expire upon completion of their validity period unless renewed.

6.5 Renewal

Users are responsible for renewing subscriptions before expiry if they wish to continue accessing subscription features.

6.6 Non-Transferability

Subscriptions:

• Cannot be transferred.
• Cannot be sold.
• Cannot be shared.
• Cannot be assigned to another account.

6.7 Refund Policy

Unless required by applicable law or expressly stated by GadiGo, subscription fees are non-refundable after activation.

6.8 Modification

GadiGo reserves the right to modify subscription pricing, benefits, validity periods, and available features at its discretion.

7. Trip Opportunities

7.1 Access

Subscription plans may provide access to a limited number of Trip Opportunities during the subscription period.

7.2 No Guarantee

Purchasing a subscription does not guarantee:

• Availability of loads.
• Availability of transporters.
• Number of bookings.
• Income.
• Business opportunities.
• Profits.
• Successful transactions.

7.3 Availability

Trip Opportunities depend on user activity, market demand, location, and other factors beyond GadiGo's control.

7.4 Expiry

Unless otherwise specified, unused Trip Opportunities may expire at the end of the applicable subscription period and shall not automatically carry forward.

8. Acceptable Use

Users agree to use the Platform responsibly and lawfully.

Users shall:

• Provide truthful and accurate information.
• Maintain valid licences and permits.
• Keep account information updated.
• Respect other users.
• Follow all applicable laws.
• Maintain the safety and legality of transported goods.
• Use the Platform only for legitimate transportation-related purposes.

Users are solely responsible for all activities performed using their account.

9. Prohibited Activities

Users shall not:

• Create fake accounts.
• Use false identities.
• Upload forged or altered documents.
• Post fake vehicles or fake loads.
• Impersonate another person or company.
• Misrepresent vehicle ownership.
• Share login credentials.
• Circumvent subscription restrictions.
• Spam users.
• Harass, threaten, or abuse any person.
• Upload malicious software or viruses.
• Attempt unauthorized access to the Platform.
• Reverse engineer or copy Platform software.
• Violate intellectual property rights.
• Publish unlawful, defamatory, obscene, or misleading content.
• Use the Platform for illegal transportation or prohibited goods.
• Interfere with Platform operations.
• Engage in fraudulent, deceptive, or dishonest conduct.

Violation of this section may result in immediate suspension or permanent termination of the account without prior notice.

10. Vehicle & Load Listings

10.1 Responsibility for Listings

Users are solely responsible for all information they publish on the Platform.

10.2 Vehicle Listings

Vehicle owners and drivers shall ensure that vehicle listings accurately describe:

• Vehicle type.
• Capacity.
• Registration details.
• Permits.
• Insurance.
• Fitness status.
• Availability.

Users remain solely responsible for the accuracy of such information.

10.3 Load Listings

Transporters and load owners shall ensure that load listings accurately include:

• Pickup location.
• Delivery location.
• Nature of goods.
• Approximate weight.
• Loading requirements.
• Special handling instructions (if any).
• Timing requirements.

10.4 Accuracy

Users must not knowingly publish false, misleading, incomplete, or deceptive listings.

10.5 Independent Verification

GadiGo does not independently verify every listing published on the Platform. Users should independently verify all relevant information before entering into any agreement or commencing transportation.

11. Communication Between Users

11.1 Independent Communication

GadiGo provides a platform that enables users to connect and communicate with one another regarding transportation opportunities. Once users establish contact, they may independently negotiate and agree upon transportation-related matters, including but not limited to:

• Freight charges
• Pickup and delivery locations
• Loading and unloading arrangements
• Delivery schedules
• Waiting charges
• Payment terms
• Vehicle requirements
• Any other commercial terms

11.2 User Responsibility

Users are solely responsible for all communications conducted through or outside the Platform. Users should exercise reasonable caution before sharing personal, financial, or business information with other users.

11.3 Record of Communications

Where technically feasible, GadiGo may retain certain communication records or metadata for security, fraud prevention, customer support, and legal compliance purposes in accordance with the Privacy Policy.

11.4 User Conduct

All communications on the Platform must remain respectful and professional.

Users shall not:

• Abuse or threaten others.
• Use offensive or discriminatory language.
• Send spam or unsolicited advertisements.
• Harass other users.
• Mislead or deceive other users.
• Attempt to obtain confidential information through fraudulent means.

Violation of this section may result in suspension or permanent removal from the Platform.

12. No Brokerage / No Payment Handling

12.1 Platform Only

GadiGo operates solely as a technology platform connecting transporters and vehicle owners.

GadiGo does not act as:

• Freight broker
• Commission agent
• Transport contractor
• Carrier
• Consignor
• Consignee
• Employer of drivers
• Logistics operator

12.2 No Participation in Contracts

Transportation contracts are entered into solely between the concerned users.

GadiGo is not a party to any transportation agreement, whether written or verbal.

12.3 No Freight Payments

GadiGo does not:

• Collect freight charges.
• Receive transportation payments.
• Hold money on behalf of users.
• Transfer freight payments.
• Guarantee payment to any user.

All financial obligations remain solely between the transporter and the vehicle owner or driver.

12.4 Pricing Decisions

GadiGo has no control over:

• Freight rates.
• Discounts.
• Negotiated prices.
• Payment timelines.
• Commercial terms.

Users are solely responsible for negotiating and fulfilling their agreed payment obligations.

13. Refund & Cancellation Policy

13.1 Subscription Fees

Subscription fees are charged solely for providing access to the Platform and its features.

They are not payments for transportation services or guaranteed business opportunities.

13.2 Refunds

Unless required by applicable law or expressly approved by GadiGo, all subscription payments are non-refundable once the subscription has been activated.

Refunds will generally not be provided due to:

• Lack of available loads.
• Low business activity.
• User dissatisfaction.
• Failure to obtain transportation work.
• Failure to use the subscription.
• Expiry of the subscription period.

13.3 Subscription Cancellation

Users may choose not to renew their subscription after it expires.

Cancellation of a subscription does not automatically entitle the user to a refund.

13.4 Transportation Cancellations

GadiGo is not responsible if:

• A transporter cancels a load.
• A driver refuses or cancels transportation.
• A booking fails.
• A shipment is delayed or cancelled.

Such matters must be resolved directly between the concerned users.

13.5 Technical Errors

In the event of duplicate payments or verified technical payment errors attributable to GadiGo, the matter will be reviewed and, where appropriate, resolved in accordance with applicable law.

14. Limitation of Liability

14.1 Platform Services

GadiGo provides its Platform on an "as available" and "as is" basis. While reasonable efforts are made to maintain uninterrupted service, GadiGo does not guarantee that the Platform will always be available, error-free, secure, or uninterrupted.

14.2 No Responsibility for User Conduct

GadiGo shall not be liable for the acts, omissions, negligence, misconduct, fraud, or unlawful activities of any user.

14.3 Transportation Risks

GadiGo shall not be liable for:

• Delayed pickup.
• Delayed delivery.
• Vehicle breakdown.
• Road accidents.
• Theft.
• Damage to goods.
• Loss of goods.
• Weather conditions.
• Natural disasters.
• Government restrictions.
• Traffic delays.
• Driver misconduct.
• Vehicle condition.
• Quality or quantity of transported goods.

14.4 Commercial Disputes

GadiGo shall not be responsible for disputes relating to:

• Freight charges.
• Payment defaults.
• Outstanding dues.
• Contract performance.
• Delivery commitments.
• Business losses.
• Customer dissatisfaction.

14.5 Verification Disclaimer

Verification of documents by GadiGo does not constitute a guarantee regarding:

• Identity.
• Financial stability.
• Legal compliance.
• Future conduct.
• Reliability.
• Honesty.

Users must independently evaluate other users before entering into any transaction.

14.6 Maximum Liability

To the maximum extent permitted by applicable law, GadiGo's total liability arising out of or relating to the use of the Platform shall not exceed the subscription fee paid by the user during the twelve (12) months immediately preceding the event giving rise to the claim.

15. Indemnity

Users agree to indemnify, defend, and hold harmless GadiGo, its founders, employees, affiliates, service providers, and representatives from any claims, liabilities, losses, damages, penalties, fines, legal expenses, or costs arising out of or relating to:

• Violation of these Terms.
• Uploading false information.
• Submission of forged documents.
• Illegal transportation.
• Violation of applicable laws.
• Infringement of intellectual property rights.
• Fraudulent activities.
• Misuse of the Platform.
• Disputes with other users.

This obligation shall survive termination of the user's account.

16. Intellectual Property

16.1 Ownership

All rights, title, and interest in the GadiGo Platform, including but not limited to:

• Name
• Logo
• Software
• Mobile application
• Website
• Database
• User interface
• Graphics
• Designs
• Icons
• Content created by GadiGo

remain the exclusive property of GadiGo or its licensors.

16.2 Restrictions

Users shall not:

• Copy.
• Modify.
• Reverse engineer.
• Sell.
• Redistribute.
